PEO for Startups in India: What Founders Should Know

PEO for startups in India

TL;DR
  • A PEO in India runs your team's payroll, benefits, and employment compliance, but a classic PEO needs your own Indian entity to work, so a startup without one is really buying an Employer of Record, not a PEO.
  • With an EOR already operating in India, you can onboard and pay your first hire in days to a couple of weeks; building your own entity first stretches that to roughly 8 to 12 weeks, and the full DIY route can take 6 to 12 months.
  • Budget three layers: provider fee, gross salary, and statutory costs. Wisemonk PEO starts at $49 and EOR at $99 per employee per month, with provident fund kicking in once you reach 20 or more employees in India.
  • You can grant ESOPs to India employees through an EOR, taxed on the employee at exercise and at sale, and the move to your own entity usually starts to pay off somewhere around 20 to 25 hires, an observed pattern rather than a fixed rule.

See how Wisemonk creates credible, research-backed content.

You found an engineer in Bengaluru, sent the offer, and then hit the wall every founder hits: you have no legal way to actually employ them. A PEO looks like the answer, until you read the fine print and discover it assumes something you do not have yet.

What does a PEO do for a startup hiring in India?

A PEO, or professional employer organization, runs the back office for your India team under a co-employment arrangement. The catch is that a classic PEO needs you to already have your own Indian entity to co-employ against.

Here is what a PEO carries, and the one condition behind it:

The catch: a classic PEO needs you to already have an Indian entity, so it's rarely a startup's first move.
  • Payroll and tax: it runs payroll and handles tax withholding for each person on your India team.
  • Statutory benefits: it administers provident fund, insurance, and the other mandated contributions.
  • Employment compliance: it keeps filings and employment paperwork correct and on time.
  • The co-employment catch: Indian law recognizes exactly one legal employer per worker, so the shared-employer idea does not map cleanly onto the statute, and the PEO still needs your entity to sit on top of.
For the full picture of the model and where it fits, read our guide to PEO in India.

Do startups need a PEO or an EOR in India?

Most startups hiring in India need an EOR, not a PEO. A PEO requires your own Indian entity; without one, the same payroll and compliance service runs through an Employer of Record that becomes the legal employer for your team.

The difference comes down to three points:

  • PEO: sits on top of your entity and takes operational work off your plate, but you keep the legal entity and the direct employment relationship.
  • EOR: removes the need for an entity by employing the person on its own books through an Employer of Record and invoicing you.
  • The deciding question: it is not PEO or EOR in the abstract, it is whether you have an Indian entity yet. If the answer is no, you are buying an EOR whatever the provider calls it.
For the full model comparison with the edge cases, read our guide to EOR vs PEO in India.

How fast can a startup get its first India hire on payroll?

Fast. With an Employer of Record already operating in India, a startup can get its first hire onboarded and on payroll in days to a couple of weeks, once the candidate accepts and clears verification.

The timeline splits cleanly by route:

Time to a first India hire on payroll, by route
RouteTime to first hire on payroll
EOR already operating in IndiaDays to a couple of weeks
Managed entity or GCC buildMedian 8 to 12 weeks
Full DIY incorporation6 to 12 months

Because the EOR already holds the registrations, the bank accounts, and the payroll setup, there is nothing for you to incorporate first. For a seed-stage team racing a roadmap, those months are the difference between shipping and waiting.

To see the mechanics of getting people onboarded, read our guide to hiring through a PEO in India.

What does employing a small India team actually cost?

Budget three layers: the provider fee, the employee's gross salary, and statutory costs on top. Our PEO starts at $49 per employee per month and EOR at $99 per employee per month.

Here is what each layer covers:

  • Provider fee: the per-employee monthly charge for running payroll, benefits, and compliance.
  • Gross salary: the employee's pay, the largest line by far.
  • Statutory costs: provident fund and other contributions that are a percentage of salary, not a flat fee, so they scale with pay.

The mistake founders make is pricing only the provider fee and treating salary as the rest.

How do equity and ESOPs work for India employees under a PEO or EOR?

Yes, you can grant ESOPs to India employees through an EOR or PEO. The grant comes from your parent entity, usually the US or UK company, so your cap table stays with the parent and the tax falls on the employee in two stages.

Here is how the tax lands, and the break startups should know about:

  • At exercise: the employee is taxed on a salary perquisite equal to the fair market value of the shares minus the exercise price.
  • At sale: the employee is taxed again, this time as capital gains on the gain when the shares are sold.
  • Startup deferral: employees of a DPIIT-recognised eligible start-up can defer the tax on the exercise-stage perquisite until the earliest of 48 months after the end of the allotment year, the sale of the shares, or the employee leaving the company. This sits under the Income-tax Act 2025 and is worth featuring in any startup offer, as of 2026.
  • The EOR's role: it captures the exercise event correctly in Indian payroll, so the employee is not left with a surprise liability.
Expert insight: treat the equity conversation as a tax-timing conversation, not a structuring one. Options granted today create two taxable moments for the employee later, at exercise and at sale, and a DPIIT-recognised startup can defer the exercise charge, so put the explanation in the offer conversation rather than leaving the engineer to discover it at vesting.

Which India compliance trips startups up most?

Provident fund is the one most startups miss, because the obligation switches on at a headcount threshold rather than from day one. A hiring sprint can push you across it mid-quarter without anyone noticing.

The three that catch founders out:

  • Provident fund: becomes mandatory once you reach 20 employees, at 12 percent from the employer and 12 percent from the employee on basic pay plus dearness allowance.
  • Employees' State Insurance (ESI): applies from 10 employees, for wages up to Rs 21,000 a month.
  • Professional tax: varies by state, so a distributed India team can owe it under several different state rules at once, with due dates that differ by location.
These are exactly the kind of moving target an EOR or PEO is built to hold for you. For the upside of handing that off, see the advantages of using a PEO in India.

When should a startup move to its own India entity?

When the math and the control both point that way, usually somewhere around 20 to 25 hires. That is an observed pattern, not a formula.

Two forces push the decision:

  • Cost crossover: the per-head EOR fee is a feature at five hires and a cost at thirty. As headcount climbs, that recurring margin eventually exceeds the fixed cost of running your own entity, and the crossover is where the decision flips.
  • Control: an entity lets you hold IP, equity administration, and employment terms directly, which matters once an India team becomes core rather than experimental.

To pressure-test your own numbers, our EOR vs entity calculator models the crossover, and when you are ready, company registration in India is the path to a 100 percent owned structure.

How does a startup choose the right PEO or EOR partner?

Judge a partner on four things, and weight speed to first hire and clean equity handling above a long feature list.

  • Own vs subcontract: a partner running its own India entity controls the employment relationship end to end; one that resells a local vendor adds a layer between you and the people who pay your team.
  • Compliance and liability: ask who actually carries compliance liability, in writing, not in a sales deck.
  • Pricing transparency: published pricing tells you more than a feature grid.
  • Employee experience: your engineers feel the onboarding, payslips, and support, so this is not a back-office detail.

How do the top PEO and EOR providers compare for startups in India?

For a startup, the shortlist is shaped by one fact: you usually do not hold an Indian entity yet. A classic PEO runs payroll on an entity you already own, so until you incorporate, the model that actually fits is an Employer of Record.

That narrows the field to providers who can be the legal employer for your first India hires, and it changes what you compare them on: whether they run on their own India entity, how they deliver, and what they publish on price.

Which provider fits which kind of startup?

The right pick depends less on the brand and more on where your startup sits: no entity and hiring your first few people, or already incorporated and ready to run your own payroll.

  • Wisemonk, for founders who want one India-native partner across the whole journey: we act as the EOR for your first hires with no entity, run PEO or managed payroll once you incorporate, and support ESOP grants to India employees along the way, with onboarding in 2 to 5 days.
Best when India is a core market, not a side experiment. (Our own row, so weigh it as disclosure.)
  • Deel, for startups already standardized on Deel elsewhere: a large global EOR on its own India entity, useful if you want one platform across many countries. Its co-employment PEO is US-only, so in India you are buying the EOR, and country surcharges surface on the sales call.
  • Remote, for multi-country startups opening several markets at once: runs India EOR on its own Indian entity with a published rate, a fit when India is one of several hires rather than your main build.
  • Multiplier, for startups that want a flat, predictable EOR fee: publishes a per-employee rate and states no hidden onboarding, termination or FX fees, worth a look when budget predictability matters more than an India-native team.
  • Rippling, for software-first startups already running Rippling: offers India EOR and keeps HR, IT and payroll on one platform, but publishes no India rate, so pricing and India specifics are a sales-call question.

How we help startups hire in India?

Frequently asked questions

Do I need an entity to use a PEO as a startup?

Yes. A classic PEO sits on top of your own Indian entity and shares the operational employer work. If you have no entity, you cannot use a true PEO, so the same payroll and compliance service is delivered through an Employer of Record instead, which employs your team directly.

Should I use a PEO or EOR for a 2 to 5 person India team?

Almost always an EOR. At that size you rarely have an Indian entity, and an EOR lets you hire, pay, and stay compliant without incorporating. A PEO only makes sense once you already own a local entity and want help running it.

How fast can I hire my first India employee?

With an Employer of Record already set up, days to a couple of weeks once the candidate accepts and clears verification. Building your own entity first takes much longer, a median of 8 to 12 weeks through a managed build and 6 to 12 months doing it fully yourself.

What will it cost per employee?

Three parts: the provider fee, the employee's gross salary, and statutory costs on top. Wisemonk PEO starts at $49 per employee per month and EOR at $99 per employee per month. Statutory contributions like provident fund are a percentage of salary, so model the loaded cost.

Can I give India employees ESOPs through an EOR?

Yes. Options are granted from your parent company's pool, so your cap table is unaffected. The employee is taxed as a salary perquisite at exercise and as capital gains at sale, and DPIIT-recognised start-up employees can defer the exercise-stage tax. The EOR captures the exercise event in Indian payroll.

When should I set up my own India entity?

Usually somewhere around 20 to 25 hires, where the per-head EOR fee starts to outweigh the fixed cost of your own structure and you want direct control. It is an observed pattern, not a formula, so model your own crossover before committing to incorporation.

Does a PEO or EOR handle India provident fund and ESI for me?

Yes. Both run the statutory wrapper for your team, including provident fund once you reach 20 employees and ESI from 10 employees for wages up to Rs 21,000 a month. The provider calculates, deposits, and files these each month so you do not track thresholds yourself.
