AGREEMENT TO OUR LEGAL TERMS

We are Storypeach Technologies Private Limited, doing business as Wisemonk ("Company," "we," "us," "our"), a company registered in India at 43, Nehru Nagar Main road, Seshadripuram, Bengaluru, Karnataka 560020. Our VAT number is 29ABHCS9314G1Z0.

We operate the website https://www.wisemonk.io/ (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

Wisemonk enables companies worldwide to hire, onboard, and manage employees in India. Our end-to-end service covers talent sourcing, employment compliance, and team management.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Storypeach Technologies Private Limited, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

We recommend that you print a copy of these Legal Terms for your records.

1. OUR SERVICES

Wisemonk provides Employer of Record (EOR), Contractor of Record (CoR), managed payroll, vendor payments, talent acquisition, and Global Capability Centre (GCC) setup services, enabling companies worldwide to hire, onboard, and manage workers in India in a legally compliant manner.

Our Services are operated from India and are intended for use by businesses engaging talent in India. Clients accessing our Services from outside India do so on their own initiative and are solely responsible for ensuring that such access complies with the laws and regulations applicable in their respective jurisdictions.

Our Services are designed to facilitate employment and contractor relationships governed by Indian law, including the applicable provisions of the Income Tax Act, 1961, the Employees' Provident Funds and Miscellaneous Provisions Act, 1952, the Employees' State Insurance Act, 1948, and India's Digital Personal Data Protection Act, 2023. Our Services are not designed or certified to comply with jurisdiction-specific regulatory frameworks such as the Health Insurance Portability and Accountability Act (HIPAA) or similar healthcare data regulations. Clients whose operations require compliance with such frameworks should assess independently whether our Services meet their regulatory obligations before use.

Nothing in these Legal Terms constitutes legal, tax, or financial advice. Clients are responsible for obtaining independent counsel regarding their obligations under the laws of their home jurisdiction.

2. INTELLECTUAL PROPERTY RIGHTS

Storypeach Technologies Private Limited owns or holds valid licenses to all intellectual property in the Services, including the platform software, databases, algorithms, workflows, website design, content, and all trademarks, service marks, and logos associated with the Wisemonk brand (collectively, "Proprietary Materials"). These are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian and international intellectual property laws.

Access to our Services does not constitute a transfer of any ownership rights in our Proprietary Materials.

License to Use

Subject to your compliance with these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes. No part of the Services or Proprietary Materials may be copied, reproduced, distributed, reverse-engineered, or commercially exploited without our prior written consent. For permissions beyond this scope, contact legal@wisemonk.io.

Any breach of these intellectual property rights constitutes a material breach of these Legal Terms and will result in immediate termination of your access to the Services.

Your Submissions

By submitting feedback, suggestions, or other communications regarding the Services ("Submissions"), you assign to us all intellectual property rights in such Submissions. We may use Submissions for any lawful business purpose without obligation to compensate or acknowledge you.

Content You Post

Where the Services permit you to post or upload content ("Contributions"), you retain ownership of your Contributions but grant us a worldwide, royalty-free, irrevocable license to use, reproduce, and display such Contributions solely for the purpose of operating and improving the Services. You warrant that your Contributions do not infringe any third-party rights and comply with all applicable laws. We reserve the right to remove any Contributions that violate these Legal Terms without prior notice.

Copyright Infringement

If you believe any content on our Services infringes your copyright, please notify us at legal@wisemonk.io with sufficient detail for us to investigate and act appropriately.

3. USER REPRESENTATIONS

By accessing or using the Services, you represent and warrant that:

you are authorised to enter into these Legal Terms on behalf of yourself or the business entity you represent, and such entity is duly incorporated and in good standing under applicable law;
all information you provide during registration and throughout your use of the Services is true, accurate, current, and complete, and you will promptly update it as necessary;
you are at least 18 years of age and have the legal capacity to be bound by these Legal Terms;
you will use the Services solely for lawful business purposes related to employment, contractor management, or payroll operations in India; and
your use of the Services will not violate any applicable law or regulation in your jurisdiction or in India.

If any information you provide is found to be untrue, inaccurate, or incomplete, we reserve the right to suspend or terminate your account and refuse current or future access to the Services.

4. USER REGISTRATION

To access the Services, you must register for an account and provide accurate details about yourself and the business entity you represent. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@wisemonk.io if you suspect any unauthorised access to or use of your account.

We reserve the right to suspend or terminate accounts that we reasonably determine have been compromised, misused, or registered under false pretences.

5. PURCHASES AND PAYMENT

Wisemonk accepts payments via bank transfer, cards, and UPI. For international clients, payments may be made in USD, AUD, or other supported currencies as indicated on the Platform at the time of purchase.

You agree to provide accurate and complete billing information and to promptly update it as needed to ensure timely processing of payments. Applicable taxes, including GST where required under Indian law, will be added to your invoice.

We reserve the right to correct pricing errors at any time, including after a transaction has been initiated. We may also decline or cancel any transaction at our discretion where we have reason to believe it involves misuse of the Services or a breach of these Legal Terms.

6. SUBSCRIPTIONS

Billing and Renewal

Wisemonk's Services are billed on a per-employee, per-month basis as described on our pricing page. Where a subscription arrangement applies, it will automatically renew at the end of each billing cycle unless cancelled in accordance with the terms below. By subscribing, you authorise us to charge your designated payment method on a recurring basis for the applicable fees.

Cancellation

You may cancel your subscription at any time by contacting us at legal@wisemonk.io. Cancellation will take effect at the end of the current billing cycle, and you will retain access to the Services until that date. No refunds will be issued for the remainder of the current cycle.

Fee Changes

We reserve the right to revise our fees at any time. We will provide reasonable advance notice of any price changes, and your continued use of the Services following such notice will constitute acceptance of the revised fees. If you do not agree to the revised fees, you may cancel your subscription before the changes take effect.

7. PROHIBITED ACTIVITIES

You may not use the Services for any purpose other than legitimate business operations related to employment, contractor management, payroll, or talent acquisition in India. By using the Services, you agree not to:

Submit false, misleading, or fraudulent information about yourself, your business, or the workers you engage through our platform;
Access, extract, or compile data from the Services through automated means including scrapers, bots, or data mining tools;
Attempt to reverse engineer, decompile, or otherwise derive the source code of any software forming part of the Services;
Upload or transmit malicious code, viruses, or any material designed to disrupt, damage, or interfere with the Services or the data of other users;
Circumvent or attempt to bypass any security, authentication, or access control measures on the Services;
Use the Services to process worker data in a manner that violates applicable employment, data protection, or privacy laws in India or any other relevant jurisdiction;
Use information obtained through the Services to harass, harm, or discriminate against any employee, contractor, or other individual; or
Use the Services in any manner that competes with or undermines Wisemonk's business operations.

Wisemonk reserves the right to suspend or terminate access and take appropriate legal action against any user found to be in violation of the above.

8. USER GENERATED CONTRIBUTIONS

Wisemonk is a B2B platform and does not operate public forums, message boards, or user-facing content channels. Accordingly, this section applies only to content submitted directly to us through the Services, such as documents, data, or communications uploaded in connection with onboarding, payroll processing, or employee management ("Contributions").

By submitting Contributions through the Services, you represent and warrant that:

You have full legal authority to submit the Contributions and doing so does not infringe any third-party intellectual property, privacy, or contractual rights;
All Contributions are accurate, complete, and submitted in compliance with applicable Indian employment and data protection laws; and
Contributions do not contain any unlawful, defamatory, or fraudulent content.

Any violation of the above may result in suspension or termination of your access to the Services.

9. CONTRIBUTION LICENSE

You retain ownership of all Contributions you submit through the Services. By submitting Contributions, you grant Wisemonk a limited, non-exclusive, royalty-free license to use, process, and store such Contributions solely for the purpose of delivering the Services to you. We will not use your Contributions for any purpose beyond the scope of our Services without your prior written consent.

We reserve the right to remove any Contributions that we reasonably determine to be in violation of these Legal Terms, applicable law, or the rights of any third party.

10. THIRD-PARTY WEBSITES AND CONTENT

Our Services may contain links to third-party websites or integrate with third-party tools and platforms ("Third-Party Services"). Such Third-Party Services are not operated or controlled by Wisemonk, and we are not responsible for their content, accuracy, privacy practices, or reliability. Links to Third-Party Services do not constitute our endorsement of those services.

If you access any Third-Party Services through our platform, you do so at your own risk and subject to the terms and policies of those third parties. We recommend reviewing the applicable terms before engaging with any Third-Party Services.

11. SERVICES MANAGEMENT

Wisemonk reserves the right to monitor the Services for compliance with these Legal Terms and to take appropriate action, including suspending or terminating access, where we reasonably determine that a violation has occurred. We may also report unlawful activity to relevant law enforcement or regulatory authorities.

We further reserve the right to modify, restrict, or discontinue any aspect of the Services at any time where necessary to maintain the security, integrity, or performance of the platform, or to comply with applicable law.

12. TERM AND TERMINATION

These Legal Terms remain in effect for the duration of your use of the Services.

Wisemonk reserves the right to suspend or terminate your access to the Services at any time where we reasonably determine that you have breached these Legal Terms, engaged in unlawful conduct, or pose a risk to the security or integrity of the platform or the data of other users. Where termination relates to an ongoing employment or payroll arrangement, we will endeavour to provide reasonable notice to allow for an orderly transition.

13. MODIFICATIONS AND INTERRUPTIONS

Wisemonk may modify, update, or discontinue any aspect of the Services at any time. Where changes are material, we will endeavour to provide reasonable advance notice.

We do not guarantee uninterrupted availability of the Services. Scheduled or unscheduled maintenance, technical issues, or circumstances beyond our reasonable control may result in temporary interruptions. We will not be liable for any loss or inconvenience arising from such interruptions, provided we have taken reasonable steps to minimise their impact.

14. GOVERNING LAW

These Legal Terms shall be governed by and defined following the laws of India. Storypeach Technologies Private Limited and yourself irrevocably consent that the courts of India shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.

Binding Arbitration

Any dispute arising out of or in connection with these Legal Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved through binding arbitration seated in Bengaluru, India. Arbitration proceedings shall be conducted in English before a sole arbitrator in accordance with the Arbitration and Conciliation Act, 1996 of India. The governing law shall be the substantive law of India.

Restrictions

Each dispute shall be arbitrated solely between the parties on an individual basis. Neither party may bring a claim as part of a class action or consolidated proceeding, or in a representative capacity on behalf of any other person or entity.

Exceptions to Arbitration

The following disputes are not subject to arbitration and may be brought directly before a court of competent jurisdiction in Bengaluru, India: (a) disputes concerning the validity or enforcement of either party's intellectual property rights; and (b) claims for urgent injunctive or equitable relief.

16. CORRECTIONS

Wisemonk endeavours to ensure that all information on the Services is accurate and current. We reserve the right to correct any typographical errors, inaccuracies, or omissions at any time without prior notice, including information relating to pricing, service descriptions, and availability.

17. DISCLAIMER

The Services are provided on an as-is and as-available basis. To the fullest extent permitted by applicable law, Wisemonk disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we take reasonable care to ensure the accuracy of information provided through the Services, we do not warrant that the Services will be error-free, uninterrupted, or completely secure. We are not liable for any loss or damage arising from unauthorised access to our systems, third-party interference, or circumstances beyond our reasonable control.

Nothing in this section limits our liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable Indian law.

18. LIMITATIONS OF LIABILITY

To the fullest extent permitted by law, Wisemonk's aggregate liability to you for any claim arising out of or in connection with these Legal Terms or the Services shall not exceed the total fees paid by you to Wisemonk in the three (3) months preceding the event giving rise to the claim.

In no event shall Wisemonk be liable for any indirect, consequential, incidental, or punitive damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

19. INDEMNIFICATION

You agree to indemnify and hold harmless Wisemonk, its affiliates, officers, employees, and agents from and against any claims, losses, damages, and expenses, including reasonable legal fees, arising out of or relating to: (1) your use of the Services in violation of these Legal Terms; (2) your breach of any representation or warranty made herein; (3) your violation of any applicable law or regulation; or (4) any inaccurate or incomplete information you provide in connection with the Services.

We will notify you promptly of any claim subject to indemnification and reserve the right to assume control of the defence of such claim at your expense.

20. MISCELLANEOUS

These Legal Terms, together with our Privacy Policy and any other policies published on the Services, constitute the entire agreement between you and Wisemonk with respect to your use of the Services and supersede all prior agreements or understandings on the same subject matter.

The following general provisions apply:

Waiver: Our failure to enforce any right or provision of these Legal Terms shall not constitute a waiver of that right or provision.
Severability: If any provision of these Legal Terms is found to be unlawful or unenforceable, it shall be severed from the remaining provisions, which shall continue in full force and effect.
Force Majeure: We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, governmental actions, or failures of third-party infrastructure.
Assignment: Wisemonk may assign its rights and obligations under these Legal Terms to a successor entity in connection with a merger, acquisition, or sale of assets. You may not assign your rights under these Legal Terms without our prior written consent.
No Partnership: Nothing in these Legal Terms creates any joint venture, partnership, employment, or agency relationship between you and Wisemonk.
Electronic Agreement: These Legal Terms are validly executed electronically and are fully enforceable in accordance with the Information Technology Act, 2000.
