The exit is written down before you start

When you are ready to run India yourself, graduation is a checklist we agreed at signature, priced as a one-time transition fee rather than a penalty. Nothing gets re-papered, nobody gets re-hired, and no employee sees a change.

Most clients graduate when they hire their own India finance lead. Some never do, and keep us running it for years. Both are fine, because the company was yours either way.

What transfers on graduation day, for a one-time fee: the director seat and board composition filed with the ROC, bank signatory rights to your appointees, original statutory registers and minute books, an archive of every filed return since incorporation, complete employee files, contracts and PF records, novated vendor and office contracts, and a machine-readable platform data export. The share register is unchanged throughout.

Why is the bank account the hard part of a setup?

Incorporation is a filing. The bank account is an underwriting decision, so the bank runs its own checks on your parent company and its beneficial owners, and most documents need apostille in your home country. We start collecting those at kickoff, before the company legally exists.

How is this different from a build-operate-transfer arrangement?

In a BOT, the provider holds the company and transfers the shares to you at the end, which usually means a valuation, fresh documentation, and stamp duty. Here your parent is the shareholder from incorporation, so there is no share transfer. Only operations move across.

Who is the resident director, and what if something goes wrong?

A Wisemonk professional fills the seat under a written mandate with defined authority limits, backed by directors and officers cover plus professional indemnity insurance. It is a real statutory appointment, which is why borrowing a friend for the role is a bad idea. You can replace our appointee with your own at any time.

How does money get from our parent company into the Indian entity?

Two routes, and most companies use both: share capital, which is reported to the regulator within a set window after shares are allotted, and service fees under an inter-company agreement, usually on a cost-plus basis. We already have an India team with Wisemonk. What happens to them?

Do we need a physical office in India to register the company?

You need a registered office address for correspondence and filings, which we provide, so incorporation is never waiting on a property search. Desks are a separate decision, arranged through WeWork and partner providers when your team is ready.

Can we hire across multiple Indian cities under one entity?

Yes, one company covers the whole country. What changes by city is the state layer: professional tax, Shops and Establishments registration, and in some states labour welfare contributions. We add each state as you hire into it.

Can we keep part of this in-house?

Yes, and the service level is where you decide. You can take the resident director seat and statutory compliance only, add the full operating layer on top, or hand over everything including recruiting, equipment, and office space. You can also move between levels as your own India team grows.

What exactly do we get on the day we take over?
