Questions from Ireland

Will employing in India affect our 12.5% corporation tax rate?
No. Wisemonk India Pvt. Ltd. is the employer in India. Your Irish company has no fixed place of business there, no dependent agent, and no construction project. The PE tests in article 5 of the 2001 Ireland-India DTAA are not met. The 12.5% rate applies to Irish trading profits, which are unaffected.
How does this interact with our R&D tax credit?
R&D credit (section 766 TCA 1997) requires the activities to be carried on by the company itself. Work done by employees of Wisemonk in India is third-party, so it does not qualify directly.
Can we issue ESOPs to employees on Wisemonk's payroll under our Irish KEEP-equivalent or unapproved option scheme?
Yes, on the unapproved side. KEEP (Key Employee Engagement Programme) requires Irish-resident employees, so it does not apply. Standard unapproved share options work fine: we handle FEMA reporting in India at exercise; the Indian employee pays perquisite tax at exercise and capital-gains at sale under the 2001 DTAA. Irish CGT does not apply.
What about the EU Whistleblowing Directive transposition?
Ireland's Protected Disclosures (Amendment) Act 2022 applies to Irish-based employees. Your Indian Wisemonk employees fall outside it.
